Role Description

The Compliance and Governance ecosystem is becoming demanding and onerous. The responsibility to comply with the governance and corporate compliance obligations of Tata Steel are vested in the Company Secretary and Chief Legal Officer. He is required to provide guidance to the Board of Directors and Management on Corporate Compliances, Board and Committee governance and Disclosures & Reporting practices. He is also responsible for creating adequate awareness on governance and compliance at the Board and Senior Management Level.

To assist the Company Secretary and Chief Legal Officer and Head Secretarial (TSL & TSGCs), it is proposed to assign the responsibility at an IL4 level, designated as Sr. Manager Secretarial (Governance & Corporate Compliance).

The main purpose of the job is to work closely with the Company Secretary and Chief Legal Officer and Head Secretarial (TSL & TSGCs) in assisting, monitoring and implementing the Corporate Compliances, Board and Committee governance and Disclosures & Reporting practices (continuous and event-based).

  • To assist the Company Secretary and Chief Legal Officer (‘CS&CLO’) and Head Secretarial (TSL & TSGCs) (‘Head’) in Corporate Compliance, Board and Committee governance practices and all operational matters relating to board and committee meetings.
  • To assist and guide the internal stakeholders on governance and compliance matters.
  • To assist the CS&CLO and Head in facilitating continuous training and development to the Board of Directors and Senior Management on aspects of governance, compliance, ethics and leadership
  • To assist the CS&CLO and Head on Disclosures and Reporting practices (continuous and event-based) in Tata Steel
  • To effectively co-ordinate and work with cross functional teams such as Corporate Finance, Treasury, Mergers & Acquisitions, Portfolio Transformation on transactional matters.

Skills

5+ years of post-qualification experience in secretarial department of a large listed company

Technical Competencies

  • Expert knowledge of Corporate Law and SEBI Regulations (operational)
  • Basic Strategic Knowledge of Corporate Laws and Governance Concepts

Other Details

  • Member of the Institute of the Company Secretaries of India

Bachelor’s degree in Law preferable
